About the role
This is a critical leadership role within the Office of the Chief Executive, responsible for delivering high-quality governance, compliance and Board support across Mind and its subsidiary entities.
As Company Secretary, you will act as a trusted adviser to the Board, CEO and Executive Team, ensuring effective governance frameworks, regulatory compliance and informed decision-making at the highest levels of the organisation.
You will lead the coordination of Board and Committee operations while driving continuous improvement in governance systems, processes and practices.
What you’ll do
- Provide expert governance advice to the Board, Chair, Committees and Executive on strategic, legal and regulatory matters
- Ensure compliance with statutory and regulatory obligations, including ASIC and ACNC requirements
- Lead governance framework development, policy implementation and continuous improvement initiatives
- Oversee Board and Committee operations, including agendas, papers, minutes and annual work planning
- Manage Board performance processes, including evaluations, skills matrix and governance reporting
- Facilitate Director recruitment, renewal and structured induction programs
- Provide legal coordination support, including contract management, execution and oversight of legal matters
- Manage disclosure obligations, regulatory reporting, FOI and privacy matter
- Lead governance system administration and improvement (e.g. Diligent and other platforms)
What you’ll bring
You are a trusted governance professional who thrives in complex, purpose-driven environments and operates with integrity and sound judgement.
Your experience includes:
- Significant experience as a Company Secretary, Assistant Company Secretary or senior governance professional
- Deep knowledge of corporate governance, ASIC and ACNC requirements, and the Corporations Act
- Proven experience supporting Boards and Committees and managing governance processes
- Strong capability in legal documentation, contracts and sensitive organisational matters
- Exceptional communication, analytical thinking and stakeholder influencing skills
Highly regarded:
- Governance Institute of Australia (GIA) qualifications or equivalent
- Legal qualifications or experience in legal environments
- Experience in not-for-profit and/or multi-entity organisations
- Experience with governance platforms such as Diligent
- Lived experience of mental ill health and recovery or caring role
